1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and NoVi Holding and its subsidiaries, including NoVi Designs & Finishing, NoVi Marketing Services, and Maison Nefer (collectively, "Company," "we," "our," or "us").

By accessing or using our website, services, or engaging with any of our companies, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

2. Our Services

NoVi Holding is a multi-sector holding company operating through its subsidiaries:

• NoVi Designs & Finishing: Architectural design, interior design, construction, and finishing services
• NoVi Marketing Services: Digital marketing, brand strategy, creative services, and performance marketing
• Maison Nefer: Luxury furniture design, manufacturing, and retail

The specific terms governing individual projects or services will be outlined in separate service agreements or contracts.

3. User Responsibilities

When using our website or services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes
• Not engage in any activity that could harm, disable, or impair our services

4. Intellectual Property Rights

Project-Specific IP

For client projects, intellectual property ownership and usage rights will be governed by the specific service agreement or contract executed between the parties.

5. Service Agreements and Contracts

Engagement of our professional services (design, construction, marketing, or furniture) requires execution of a separate service agreement or contract. These agreements will specify:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property ownership
• Warranties and guarantees
• Termination conditions

In case of conflict between these Terms and a specific service agreement, the service agreement shall prevail.

6. Payment Terms

Payment terms for services will be specified in individual service agreements. General payment policies include:

• All fees are quoted in the currency specified in the agreement
• Payment schedules and milestones as agreed in the contract
• Late payments may incur interest charges as specified in the agreement
• All applicable taxes are the responsibility of the client unless otherwise stated

7. Limitation of Liability

To the maximum extent permitted by applicable law, NoVi Holding and its subsidiaries shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising from these Terms or our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

8. Warranties and Disclaimers

Our website and informational content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.

Warranties for specific services (design, construction, furniture, etc.) will be governed by the applicable service agreement and any manufacturer warranties where applicable.

9. Indemnification

You agree to defend, indemnify, and hold harmless NoVi Holding, its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to our services
• Your violation of any term of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any claim that your content caused damage to a third party

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to the competent courts in Cairo, Egypt.

For clients in Saudi Arabia or the UAE, disputes may alternatively be resolved according to the governing law specified in the applicable service agreement.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
